Ventura Motors NewCo Pty Ltd, a wholly owned subsidiary of Ventura Motors Pty Ltd (together with its subsidiaries, Ventura Motors) proposes to acquire the business assets (including the vehicles, plant and equipment, IP and IP licences, goodwill, and business records) of Crown Coaches Pty Ltd and Crown Hybrid Pty Ltd that constitute the Crown Coaches business (Crown Coaches) (the Acquisition). 

Ventura Motors is an Australian bus operator primarily active in metropolitan Melbourne. It supplies metropolitan bus services, public school bus services, and private school and other private charter bus services, as well as regional intercity coach transport. 

Crown Coaches is a family-owned bus operator that supplies public school bus services, and private school and other private charter bus services in metropolitan Melbourne.

Both Ventura Motors and Crown Coaches supply bus services in metropolitan Melbourne.
 

Eli Lilly and Company (Eli Lilly) and CSL Behring LLC (CSL Behring) propose to enter into a Licence Agreement under which Eli Lilly would be granted certain exclusive rights to develop and commercialise Clazakizumab, an anti-interleukin-6 (IL-6) monoclonal antibody, for certain new indications including atrial fibrillation, atherosclerotic cardiovascular disease and other cardiovascular-related indications (the Acquisition). CSL Behring would retain exclusive rights to continue the development and commercialisation of Clazakizumab for the prevention of cardiovascular events in patients with end-stage kidney disease.

Eli Lilly is a US-based pharmaceutical company which discovers, develops, manufactures and markets human pharmaceutical products for various therapeutic areas, including diabetes, oncology, immunology and neuroscience. Eli Lilly is headquartered in Indianapolis, US and is publicly listed on the New York Stock Exchange.

CSL Behring is a subsidiary of CSL Limited, a global biopharmaceutical business listed on the Australian Stock Exchange (ASX: CSL) and headquartered in Australia. CSL Limited develops, manufactures and markets therapies derived from human plasma and recombinant technologies for rare and serious diseases. It provides treatments for immunology, hematology, cardiovascular and metabolic disorders. 

Lawrence & Hanson Group Pty Ltd (Lawrence & Hanson) proposes to acquire the business and assets of Gordon Macdonald Pty Ltd (Gordon Macdonald) (the Acquisition).

Lawrence & Hanson is an Australian wholesaler of electrical, lighting and data products, primarily to trade and industrial customers. It operates premises across Australia, including in Nowra and Wollongong in New South Wales. Lawrence & Hanson is owned by Sonepar, a French headquartered, global distributor of electrical products and related services.

Gordon Macdonald is a New South Wales based wholesaler of electrical, lighting and data products, primarily to trade and industrial customers. Gordon Macdonald currently has premises in Bowral, Nowra and Wollongong.

Estia Investments Pty. Ltd. (Estia) proposes to acquire substantially all of the business assets of three residential aged care homes from Norsan Pty Ltd (Norsan), being Chirnside Views Residential Aged Care, Park Lane Croydon Residential Aged Care and Willowbrae - Melton Residential Aged Care (the Acquisition). 

Estia is a registered provider of residential care services under the Aged Care Act 2024 (Cth) (ACA). Estia and its wholly owned subsidiaries currently operate over 90 residential aged care homes across Victoria, New South Wales, Queensland, and South Australia. 

Norsan is a small family-owned supplier of three residential aged care services operating in certain parts of metropolitan Melbourne and outer Melbourne suburbs. Norsan is also a registered provider of residential care services under the ACA.

Both Estia and Norsan are providers of residential aged care services in certain areas within, and in the outer suburbs of metropolitan Melbourne.

Dubai Aerospace Enterprise DAE Ltd (DAE) proposes to acquire 100% of the issued share capital in Macquarie AirFinance Limited (Macquarie AirFinance) (the Acquisition). 

DAE is a globally active aircraft lessor, headquartered in Dubai. DAE is active in leasing regional, narrow-body and wide-body aircraft to airlines. DAE consists of two divisions: DAE Capital and DAE Engineering. DAE Capital carries out aircraft leasing, aircraft trading and provides aircraft investor services. DAE Engineering, through Joramco, provides regional maintenance repair & overhaul services. 

Macquarie AirFinance is a globally active aircraft lessor of civil aviation aircraft, headquartered in Dublin. Macquarie AirFinance is primarily active in leasing narrow-body aircraft, and, to a lesser extent, wide-body aircraft to airlines.

Both DAE and Macquarie AirFinance are globally active suppliers of aircraft dry leases.

Signant Health Holding Corp (Signant) proposes to acquire 100% of the shares in ActiGraph Holdings, LLC (together with its subsidiaries, ActiGraph). 

Signant is a US-based evidence generation company that provides services used in clinical trials. Signant does not have a physical presence in Australia but provides electronic clinical outcome assessments (eCOA), clinical trial randomisation and supply management (RTSM) services, and supplementary clinical trial professional services. Signant supplies these services to both contract research organisations (CROs) and directly to pharmaceutical and biotechnology companies. 

Ametris (formerly ActiGraph) is a US-based provider of digital health technology (DHT) for clinical trials, specialising in wearables – in particular, wrist-worn wearables and other sensors – which track biovitals and other digital endpoints for patients participating in clinical trials. Ametris does not have a physical presence in Australia but supplies its DHT products in Australia for non-commercial academic research. 

Swiss Re International SE (Swiss Re) proposes to acquire certain assets from QBE Insurance Holdings Pty Ltd (QBE) relating to its Credit & Surety business (QBE’s TC&S Business), including data, employees and renewal rights (the Acquisition). 

Swiss Re provides insurance, reinsurance and risk transfer solutions to mid to large-sized corporate customers. In Australia, Swiss Re provides a range of property and casualty insurance products, including non-payment insurance for banks, surety bonds and claims management services.

QBE is an Australian-based provider of a broad range of insurance and reinsurance products to personal, business, corporate and institutional customers. QBE’s TC&S Business provides:

• non‑payment insurance (also known as trade finance insurance) which insures commercial banks and financial institutions against the risk of counterparties’ non‑payment of loans, guarantees or letters of credit.

• trade credit insurance which insures corporate customers against the risk of non-payment of trade receivables arising from credit sales.

• surety bonds which involve providing a financial guarantee that a party will fulfill a contractual, statutory, or financial obligation with the insurer committing to intervene if the insured party fails to do so.

Eli Lilly and Company (Eli Lilly) proposes to acquire 100% of the issued shares in Orna Therapeutics Holdings, LLC (Orna Therapeutics) (the Acquisition). 

Eli Lilly is a US-based pharmaceutical company, which discovers, develops, manufactures and markets human pharmaceutical products for various therapeutic areas, including diabetes, oncology, immunology and neuroscience. Eli Lilly is headquartered in Indianapolis, US and is publicly listed on the New York Stock Exchange. Eli Lilly has an Australian subsidiary that registers and markets medicine in Australia.

Orna Therapeutics is a US-based pre-clinical biotechnology company developing a new class of engineered circular RNA (oRNA) therapeutics and immune tropic lipid nanoparticles (LNP) delivery technologies for the treatment of autoimmune disorders, and cancer conditions. Orna Therapeutics has a pipeline consisting of two pre-clinical in vivo Chimeric Antigen Receptor T-cell (CAR-T) therapies, designed to treat B cell-driven autoimmune diseases.

PH Medical Centres Pty Ltd (PHMC) proposes to acquire the business and assets of the Riverstone Family Medical Practice (RFMP) from Riverstone GP Pty Ltd (the Acquisition).

PHMC is part of the Partnered Health Group and an indirectly wholly owned subsidiary of Partnered Health Pty Ltd (PHPL).

PHMC together with other PHPL subsidiaries (the PH Primary Care Group) provide primary care services with more than 60 general practice clinics and medical centres across Australia, engaging more than 600 general practitioners. The PH Primary Care Group also operates skin cancer clinics, allied health providers (physiotherapy and dietetics) and TeleWell, a telehealth platform which provides 24/7 continuous access to general practitioners.

The Partnered Health Group also operates a healthcare platform which provides corporate and occupational healthcare solutions alongside its primary care network.

PHPL is part of a larger group of companies which are ultimately controlled by Quadrant Private Equity (QPE) through Quadrant Private Equity No. 6 (QPE Fund 6).

RFMP is a medical centre located at 71 Garfield Road East, Riverstone, NSW 2765, which provides primary care services through 12 general practitioners (plus four Registrars) and three allied health professionals.

Sembcorp Industries Ltd (Sembcorp) proposes to acquire, via share sale agreement, 100% of Pioneer Sail Holdings Pty Limited and its subsidiaries including Alinta Energy Ltd (Alinta Energy) and Latrobe Valley Power (Holdings) Pty Ltd (Latrobe Valley Power), which operates the Loy Yang B coal-fired power station (together, the Target Group).

Sembcorp is an energy, renewable and industrial solutions company headquartered in Singapore with renewable energy and gas assets in the wider Asia region. Sembcorp does not own any operating assets in Australia, nor have any minority or controlling interests in any entities active in the energy sector in Australia. 

Alinta Energy is an Australian "gentailer" which supplies electricity and gas to customers across Australia. It has over 3.4GW of installed and contracted generation assets comprising coal, gas, onshore wind and solar and a development pipeline of up to 10.4GW of renewable energy projects. 

The Loy Yang B power station is a baseload brown coal fired power generator located 160km east of Melbourne which supplies electricity into the National Electricity Market. The Target Group also has joint venture interests in the Yandin Wind Farm and Spinifex Offshore Wind Project, which is currently in the planning and development phase. 

Temasek is the largest shareholder of Sembcorp. Temasek has interests in a variety of industries globally, including financial services, telecommunications, transportation, and real estate and is headquartered in Singapore. 

Temasek wholly-owns Singapore Power Group, an electricity and gas distribution company, which through its subsidiary Singapore Power International has an indirect interest in SGSP Australia Assets Pty Ltd (SGSPAA). SGSPAA owns Jemena, which is the owner and operator of gas distribution and transmission and electricity distribution network assets on the east coast of Australia and has interests in three electricity distribution networks located in New South Wales, Victoria and the Australian Capital Territory. 

Temasek also has an interest in Neoen SA (Neoen), a France-headquartered global developer, constructor, financier, and operator of renewable energy assets. Neoen owns and/or operates a number of wind, solar and energy storage projects in New South Wales, Queensland, South Australia, Tasmania, and Western Australia.

REA Financial Services Holding Co. Pty Ltd, as a subsidiary of REA Group Ltd (REA Group) (ASX:REA), proposes to acquire 70% of the shares in Simplicity Loans & Advisory Pty Ltd (Simplicity Loans & Advisory) (the Acquisition).

REA Group provides digital advertising and mortgage brokering services through the following brands and platforms:

• Mortgage Choice Pty Ltd and Smartline Operations Pty Ltd (Mortgage Choice) – mortgage broker offering residential mortgage broking services (homes and personal loans) and financial planning services. Mortgage Choice also acts as an aggregator connecting brokers seeking residential loans to a panel of lenders

• Simpology (32.9% interest held by REA Group) – e-lodgement platform used by brokers to submit loans to a range of lenders

• Athena Home Loans (19.9% interest held by REA Group) – non-bank lender focusing on residential home loans

• Online property advertising platforms: realestate.com.au (residential property), realcommercial.com.au (commercial property), flatmates.com.au (share accommodation), Spacely (short-term commercial and co-working property), PropTrack (property data services and market insights) and 1Form (centralised platform for rental property applications)

Simplicity Loans & Advisory is a boutique mortgage broker operating in Sydney, Melbourne and Brisbane specialising in commercial and developer mortgages.

Simplicity Loans & Advisory also operates Marketplace Finance Platform, a bilateral mortgage referral tool connecting third-party referrers (typically residential mortgage brokers with no commercial experience) with Simplicity Loans & Advisory’s commercial mortgage brokers. Fulfilment of the loans occurs by Simplicity Loans & Advisory employed brokers via aggregator panels or direct lender channels.

Experience Australia Group Pty Ltd (EAG), via its wholly owned subsidiary JB Kakadu Hotel Pty Ltd (JB Kakadu), proposes to acquire Crocodile Hotel Pty Ltd, which operates the business and business assets known as the Kakadu Crocodile Hotel (Crocodile Hotel) in Jabiru (NT), from Kakadu Tourism (GCH) Pty Limited (the Seller), as well as a 100% leasehold interest in the land on which the Crocodile Hotel is situated from Gundjeihmi Aboriginal Corporation Jabiru Town (the Acquisition).

EAG primarily supplies tourism services and multi-destination packaged tours in Australia under the brand name “Journey Beyond”. Via its wholly owned subsidiary Outback Spirit Tours Pty Ltd (Outback Spirit), EAG also supplies touring packages to remote destinations across Western Australia, the Northern Territory, Queensland and South Australia.

The Crocodile Hotel is a 110‑room hotel located in the township of Jabiru in Kakadu National Park. In addition to accommodation, its facilities include a restaurant, bar and an on‑site art gallery featuring local artwork.

EAG and the Crocodile Hotel both operate in the touring services supply chain. Outback Spirit currently uses accommodation provided by the Crocodile Hotel on certain tours.

eBay Inc. (eBay) proposes to acquire 100% of the shares in Depop Limited (Depop) from Etsy, Inc (Etsy) (the Acquisition).

eBay is a multinational e-commerce corporation headquartered in San Jose, California and listed on the Nasdaq. eBay facilitates business to consumer (B2C) and consumer to consumer (C2C) sales through its e-commerce platforms, including its Australian online marketplace, eBay.com.au.

eBay is a generalist platform which facilitates e-commerce transactions across a wide range of sectors in Australia, including electronics, cars, spare parts and accessories, furniture, collectibles, and fashion. eBay facilitates sales of both new and used products.

Depop started in 2011 as a social shopping platform and was acquired by Etsy in 2021. Depop is now a wholly owned subsidiary of Etsy, a global e-commerce company listed on the New York Stock Exchange and headquartered in New York, United States.

Depop operates a mobile-first pre-owned fashion online marketplace, and is predominantly active in the US, the UK and Australia, but also has a small level of activity in other countries.

The Acquisition is a global transaction.

eBay, Depop and Etsy overlap in the supply of online marketplace services to users, including buyers and sellers in Australia. eBay and Depop overlap in relation to the provision of these services for pre-owned fashion.

Yancoal Australia Limited (Yancoal) proposes to acquire 100% of the shares in Kestrel Coal Group Pty Ltd (Kestrel Coal Group) from investment funds and/or their investors which are managed by EMR Capital Management Limited or EMR Capital Advisors Pty Ltd and Adaro Capital Limited (the Acquisition). 

Kestrel Coal Group holds an 80% interest in the Kestrel Joint Venture, an unincorporated joint venture which owns and operates the Kestrel Coal Mine in Queensland. The remaining 20% of the Kestrel Coal Joint Venture is held by Mitsui Kestrel Coal Investment Pty Ltd. 

Kestrel Coal Group was formed to hold the 80% interest in the Kestrel Coal Joint Venture and does not itself supply goods or services. The Acquisition will result in Yancoal holding an 80% interest in the Kestrel Coal Mine. 

Yancoal produces thermal coal from mines located in New South Wales, Queensland, and Western Australia. It also produces a smaller volume of metallurgical coal.

The Kestrel Coal Mine is located in Queensland’s Bowen Basin and produces metallurgical coal, in addition to a smaller volume of thermal coal. 

Danaher Corporation (Danaher) proposes to acquire 100% of the outstanding share capital of Masimo Corporation (Masimo).

Danaher is a global science and technology company. Danaher designs, manufactures and markets professional, medical, industrial and commercial products and services under three core segments: biotechnology, life sciences, and diagnostics.

Masimo is a global medical technology company. Masimo is a provider of pulse oximetry and other patient sensors and monitoring solutions.

Vets Central Holdings Pty Ltd (together, with its subsidiaries, Vets Central), proposes to acquire 100% of the shares on issue in Drovers Vet Hospital Pty Ltd (Drovers Vet Hospital) from Dr Wayne Shipham and Raylene Shipham as trustees for the McGuire Family Trust. 

Vets Central is an Australian-owned veterinary group that owns and operates 81 first opinion veterinary practices across Australia and New Zealand. In Australia, Vets Central’s practices provide core and ancillary veterinary services, for household pets as well as livestock, and other exotic species. The services primarily include routine, planned, and emergency veterinary services (excluding after-hours services). 

Vets Central was acquired by Pemba Capital Partners in September 2021 and sits within Pemba Capital Fund II. 

Drovers Vet Hospital is a full-service veterinary practice providing a range of first opinion core and ancillary veterinary services for household pets (extending to exotic pets) in the Wanneroo area of Western Australia.

Ochre Health Pty Limited (Ochre Health) proposes to acquire the business and all of the assets of Newstead Medical (including the co-located Urgent Care Centre) and Kings Meadows Medical Centre (Newstead and Kings Meadows clinics) through a business and assets acquisition agreement (the Acquisition).

The acquirer, Ochre Health, supports independent doctors to provide general practice medical services in regional, rural and urban communities around Australia. Ochre Health currently operates 68 medical centres and urgent care clinics located in the ACT, NSW, Queensland, Tasmania and Victoria, but currently does not operate any medical centres or urgent care clinics within 40km of Launceston, Tasmania. Ochre Health Group’s medical recruitment business, Ochre Recruitment, also works with hospitals and medical practices across Australia and NZ to source and place locum and permanent doctors across a range of specialities.

Ochre Health is majority owned and controlled by Genesis Capital (Genesis), an Australian-based private equity firm that invests in businesses operating in the healthcare sector.

The Newstead and Kings Meadows clinics provide general practice medical services from their respective premises in Launceston, Tasmania. A private urgent care centre is co-located within the Newstead clinic for treatment of non-life-threatening urgent medical presentations. The Newstead and Kings Meadows clinics are currently owned and operated by general practitioners Andrew Fair, Daniel Kirk, and Toby Gardner in partnership as the Newmed Group and the trustees of their family trusts in partnership as Newstead Health Nexus.

Eagers Vic Pty Ltd (Eagers) is a subsidiary of Eagers Automotive Limited (ASX: APE), a publicly listed automotive retail group which owns and operates motor vehicle dealerships across Australia. Eagers Automotive Limited sells new and used motor vehicles through its dealerships, representing around 50 automotive brands. Eagers also provides related goods and services including motor vehicle service, parts and allied consumer finance. Eagers operates 12 dealerships in the Melbourne area, including in Toorak (Mercedes-Benz), Malvern (ULR Jaguar and ULR Land Rover) and Port Melbourne (Jaguar, Volvo, Volkswagen and Land Rover). Eagers does not currently have any Audi dealerships in Victoria.

Zagame Automotive Group Pty Ltd (Zagame) operates motor vehicle dealerships (franchises and agencies), selling new and used motor vehicles, focusing on sports, luxury and performance vehicles. It represents 16 automotive brands with dealerships across the Melbourne area (including five Audi dealerships). Zagame also operates related businesses including automotive repairs, wholesale automotive parts, and retail automotive finance. 

Eagers proposes to acquire the assets for the following Audi dealerships from Zagame: 

Audi Centre Melbourne, 501 Swanston St, Melbourne 3000 (Audi Melbourne); and 

Audi Richmond, 408 – 410 Swan Street, Richmond 3121 (Audi Richmond). 

Francisco Partners Management, LP (Francisco Partners) is a global investment firm specialising in technology and technology-enabled businesses, headquartered in San Francisco, United States with offices in New York and London. Francisco Partners has several portfolio companies that operate across multiple sectors, including in Australia. 

CSHC Buyerco, LLC (together with its connected entities, Capsa Healthcare) manufactures and supplies healthcare equipment and technology-enabled point-of-care hardware, including mobile medication carts, pharmacy automation hardware, clinical workstations, and medical supply chain software. Capsa Healthcare does not have a physical presence in Australia but does generate a proportion of its global revenue from supply to Australian customers. 

Pursuant to a share sale agreement and as described in the transaction documents provided as part of the application, the funds advised by Francisco Partners which are currently controlled by the acquiring vehicles will acquire 100% control and ownership of Capsa Healthcare.
