Description of Conduct

On 5 March 2026, Singapore Airlines Limited (Singapore Airlines) and All Nippon Airways Co Ltd (All Nippon) (together, the Applicants) applied for authorisation AA1000716.

Singapore Airlines and All Nippon seek authorisation to coordinate certain activities pursuant to the Joint Venture Agreement between the Applicants dated 17 April 2025. The Joint Venture Agreement envisages the Applicants, among other things:

  • coordinating certain operations in relation to pricing, revenue management and sales, marketing, networks, route planning and scheduling, capacity, inventory management strategies and revenue sharing in respect of passenger air transport services between Japan and each of Singapore, Australia, India, Indonesia and Malaysia (the Approved Markets), including services on trunk routes and feeder routes (together, the Joint Venture Routes)
  • engaging in other commercial cooperation in respect of passenger air transport services between Japan and certain other countries in Asia and Africa (the Priority Markets).

The Applicants do not seek authorisation for the entire cooperation within the scope of the Joint Venture Agreement, but seek authorisation for the Proposed Conduct as outlined below.

In respect of the Approved Markets, the Applicants seek authorisation to:

  • Share revenue on certain routes between Australia and Japan, including direct flights operated by All Nippon Airways and one鈥憇top flights operated by Singapore Airlines via Singapore
  • Coordinate route planning and scheduling on trunk routes, and where practical, coordinate flight schedules between trunk routes and feeder routes
  • Coordinate pricing and sales on joint venture routes
  • Coordinate sales and marketing

In respect of both the Approved Markets and the Priority Markets, the Applicants seek authorisation to:

  • Coordinate on airport operations, other customer services and information technology, including by aligning passenger and baggage policies, and (where commercially practicable) developing and implementing any other information technology tools the Applicants agree are reasonably necessary to support and implement the Joint Venture Agreement.

Authorisation is sought for 5 years.

The Applicants also seek interim authorisation so that they can commence discussing and planning, but not implementing, the Proposed Conduct prior to the 糖心原创鈥檚 final determination in relation to the substantive application for authorisation.
