The transaction involves the acquisition by Migaloo QLD Pty Ltd, a subsidiary of Star Consolidated Holdings Pty Ltd and its controlled entities (Star Hotels Group), of:

• the leasehold interest in the land that the Liquor Legends Berserker and Liquor Legends Highway A1 stores operate on; and

• business assets including goodwill, fixtures, fittings and all licences involved with the Liquor Legends Berserker and Liquor Legends Highway A1 stores.

The Star Hotels Group is an independently owned and operated hospitality group, primarily operating pubs along the eastern seaboard of Queensland with 4 venues in South Australia. It operates multiple licensed venues and liquor retail outlets under brands such as Star Liquor, Sense of Taste and Bob’s Bulk Booze, as well as accommodation at selected venues.

Liquor Legends Berserker and Liquor Legends Highway A1 are bottle shop businesses which are located at 169 High Street, Berserker, QLD 4701 and 86 Derby Street, Rockhampton, QLD 4700, respectively. These outlets sell a range of alcoholic beverages to retail customers. Liquor Legends Berserker and Liquor Legends Highway A1 Liquor are currently owned and operated by The Trustee for The Garden Holdings Trust.

Vets Central Holdings Pty Ltd (together, with its subsidiaries, Vets Central), proposes to acquire 100% of the business assets (both tangible and intangible) of Hills Veterinary Centre.

Vets Central is an Australian-owned veterinary group that owns and operates 80 first opinion veterinary practices across Australia and New Zealand. In Australia, Vets Central’s practices provide core and ancillary veterinary services, for household pets as well as livestock, and other exotic species. The services primarily include routine, planned, and emergency veterinary services (excluding after-hours services).

The Hills Veterinary Centre is a full-service veterinary practice in the Blackwood area of South Australia. The business provides a range of first opinion core and ancillary veterinary services for household pets (extending to exotic pets) in the local area.

TWG Hunter Dealerships Pty Ltd (TWG) is acquiring 95% of the share capital of Sharton Motors Pty Ltd (Sharton Motors), and the associated freehold properties (currently held by N&M Burton Pty Ltd).

Sharton Motors is in the business of selling and servicing Toyota, GWM/Haval vehicles and the associated sales of parts and accessories under the name of Sharton Motors Pty Ltd at the following sites:

• 70 Port Stephens Drive, Taylors Beach

• 104 - 110 Newcastle Street, East Maitland

• 124 Newcastle Street, East Maitland

• Union Street, East Maitland

• 83 - 87 Melbourne Street, East Maitland

• 75 Melbourne Street, East Maitland

• 91 Melbourne Street, East Maitland

• 322 Main Road, Cardiff

The Freehold Properties will be purchased by the TWG directly from N&M Burton Pty Ltd.

Both the TWG and Sharton Motors are in the business of selling new and used vehicles in Australia.

The acquisition will involve:

1. the vendors each selling their entire existing interests in Sharton Motors to TWG, with the effect that TWG will acquire 95% of Sharton Motors, which operates Toyota and GWM/Haval motor vehicle dealerships at locations in Maitland, Port Stephens and
   Cardiff; and

2. N&M Burton Pty Ltd selling their associated freehold properties to TWG.

The INNIO Group operates in the industrial equipment and energy infrastructure sector, primarily as a global manufacturer of gas power units under the Jenbacher and Waukesha brands. Its products are supplied to industries such as power generation, oil and gas (particularly for gas compression), utilities and large-scale industrial users. INNIO’s power units are used for distributed power generation, combined heat and power applications, and gas compression, serving a broad range of commercial, industrial and utility customers.

Enerflex Australia operates in the energy infrastructure services sector with a strong focus on supporting the gas industry as well as industrial energy users. The company provides aftermarket services such as maintenance, repair, spare parts, field services, retrofits, and operations and maintenance for a wide variety of gas compression and engine-power equipment.

Two wholly owned subsidiaries of INNIO Holding (INNIO Jenbacher International and INNIO Jenbacher Netherlands) propose to acquire from Enerflex Ltd (together with all its subsidiaries, Enerflex Group) the issued share capital in certain Enerflex Group operating companies in Australia, Indonesia and Thailand (Target Companies), which will transfer Enerflex Group’s aftermarket service businesses in those countries to the INNIO Group (APAC Transaction).

The Australian element of the APAC Transaction (the Acquisition) comprises the acquisition by INNIO Jenbacher International of all of the issued share capital in Enerflex Service Pty Limited (Enerflex Australia) from Enerflex Australasia Holdings Pty Ltd., an indirect, wholly-owned subsidiary of Enerflex Ltd. On completion of the Acquisition, Enerflex Australia will become an indirect, wholly owned subsidiary of INNIO Holding and part of the INNIO Group’s global Jenbacher/Waukesha gas compression power units and services business.

PT Asian Bulk Logistics, through its Australian subsidiary, Global Engage Marine Pty Ltd, proposes to acquire 100% of the issued share capital in Engage Marine TopCo Pty Ltd (Engage Marine). 

Engage Marine provides terminal and harbour towage including the berthing and sailing of Cape-size, Panamax, and Handy-size vessels. Engage Marine also provides ad-hoc towage emergency response solutions in salvage situations. The main industry Engage Marine operates in is marine services (towage and port services). 

PT Asian Bulk Logistics is an integrated logistics and infrastructure group supplying bulk logistics services, port services and marine services. It primarily operates in Indonesia. 

Through one of its subsidiaries, Transhipment Services Australia, PT Asian Bulk Logistics operates a port-specific towage fleet supporting transhipment and logistics operations. 

PT Asian Bulk Logistics operates two additional subsidiary companies in Australia – One Rail Australia and SCF Containers.

Eli Lilly and Company (Eli Lilly) proposes to acquire 100% of the issued shares in Orna Therapeutics Holdings, LLC (Orna Therapeutics) pursuant to an Agreement and Plan of Merger.

Eli Lilly is a US-based pharmaceutical company, which discovers, develops, manufactures and markets human pharmaceutical products for various therapeutic areas, including diabetes, oncology, immunology and neuroscience. Eli Lilly is headquartered in Indianapolis, US and is publicly listed on the New York Stock Exchange. 

Orna Therapeutics is a US-based pre-clinical biotechnology company developing a new class of engineered circular RNA (oRNA) therapeutics and immune tropic lipid nanoparticles (LNP) delivery technologies for the treatment of autoimmune disorders, and cancer conditions. Orna Therapeutics has a pipeline of pre-clinical in vivo Chimeric Antigen Receptor T-cell (CAR-T) therapies designed to treat B cell-driven autoimmune diseases. 

Premier Fresh Australia Pty Ltd (Premier Fresh) proposes to purchase 100% of the shares in the following entities that are owned by Carmelo De Domenico and C.A. De Domenico Pty Ltd (the Vendor):

(a)        North Queensland IQF Pty Ltd, and

(b)        Double D Produce Pty Ltd

(collectively, the Domenico Group),

as well as the business, land and assets owned and operated by the Domenico Group. 

The Domenico Group and the Vendor are involved in the growing, packing and value add processing for capsicums located in Ayr, Queensland. 

Premier Fresh, through its related entities, has had a long-standing commercial relationship with the Domenico Group, with Premier Fresh historically purchasing and marketing a majority of the Domenico Group’s seasonal capsicum production under a marketing agreement. 

Premier Fresh, through its related entities known as the Premier Fresh Group, is a horticulture marketer and supply chain operator that operates across a number of fruit and vegetable supply lines.

This application relates to the Acquisition by Intrepid Travel Pty Ltd (Intrepid) of 100% shares in Wild Bush Luxury Experience Pty Ltd (Wild Bush Luxury) held by Experience Co Limited (ExCo). 

Intrepid Group Pty Ltd (IG) is a global, purpose-led experiential travel company, specialising in small group tours and travel experiences. IG has 31 offices around the world and operates more than 1,000 small group adventures in 118 countries. Intrepid is a subsidiary of IG. 

Wild Bush Luxury is a boutique Australian tourism operator that manages and operates the 'The Maria Island Walk' (in Tasmania), 'Arkaba Walk (in South Australia), 'Arkaba Homestead' (in South Australia), and 'Bamurru Plains' (in the Northern Territory). 

Henkel AG & Co. KGaA (Henkel) proposes to acquire all the shares in Aqua Adhesives I GmbH (Aqua Adhesives). Through that, Henkel will acquire control of Aqua Adhesives’ subsidiary, ATP adhesive systems Group GmbH (ATP).

Salesforce, Inc (Salesforce) is a global supplier of customer relationship management (CRM) software and other software-as-a-service solutions that enable companies to manage and improve their relationships with customers. Salesforce is a publicly listed company on the New York Stock Exchange and is headquartered in San Francisco, California.

Qualified.com, Inc (Qualified), founded in 2018 and headquartered in San Francisco, California, is a provider of an agentic marketing product. Qualified offers its products worldwide, including in Australia.

Both Salesforce and Qualified supply conversation automation solutions for business-to-business (B2B) uses, which integrate with Salesforce’s CRM software. Conversation automation solutions for B2B uses includes tools, such as virtual assistants, artificial intelligence (AI) agents, and chatbots, that support functions such as outbound and inbound sales prospecting for lead generation, customer qualification, customer research, meeting scheduling, and personalised product recommendations.

Salesforce proposes to acquire by merger all of the outstanding voting securities of Qualified.
